ZMW Legal’s Life Sciences team, led by Karolina Rychlewska, advised on the merger of two Polish generic drug manufacturers. The value of the transaction exceeded PLN 200 million.
The merger covered companies operating four manufacturing plants in total and holding more than 120 marketing authorisations for medicinal products. For confidentiality reasons we do not disclose the names of the parties.
Our role
- regulatory due diligence of marketing authorisations, manufacturing authorisations and distribution agreements,
- preparation of the merger plan and corporate documentation,
- merger notification to the President of UOKiK and unconditional clearance,
- transfer of authorisations and updating of documentation with the Office for Registration of Medicinal Products.
The biggest challenge
In pharmaceutical transactions success depends on continuity: products must remain on the market throughout the merger, with no interruption in supplies to wholesalers and pharmacies. We designed the authorisation transfer schedule so that no product left the market.
“Merging two pharmaceutical companies is as much a regulatory project as a corporate one. On this transaction both teams worked together from day one.”
